IMPORTANT NOTICE

These Terms and Conditions ("Terms") constitute a legal agreement between you ("User" or "You") and Compono Australia Pty Ltd (ACN 650 552 373) ("Compono", "we", "us", or "Provider"). Compono provides Hey Compono, an AI-powered personality coaching service delivered via web application, mobile application, and voice communication (the "Service" or "Hey Compono").

Set out below are the terms which govern the provision of Hey Compono to You. Please make sure you carefully read the Terms. By accessing and/or using the Service, You acknowledge and confirm that you have read, understood and agree to the Terms.

If you do not agree and wish not to be bound by the terms, please cease usage of Hey Compono immediately.

Compono reserves the right to review and amend any of the Terms at its sole discretion, such amendments being effective immediately upon publication. Should such amendment to the Terms occur, Compono will use reasonable endeavours to notify you of such amendment via email or in-app notification. A copy of the Terms should be kept by the User for its records. If Compono amends these Terms in a manner that unreasonably impacts your rights or your access to or enjoyment of Hey Compono, you may request a commercial discussion with Compono to agree whether and how these amended Terms will apply to you. If an agreement cannot be reached, you can terminate these Terms with immediate effect in accordance with Clause 11.

NATURE AND PURPOSE OF SERVICE

1.1 Service Description

Hey Compono is an AI-powered professional coaching service that provides personality-based insights, guidance, and self-reflection tools. The Service uses artificial intelligence, including Large Language Models (LLMs), to deliver personalised responses based on your personality profile and conversational inputs.

1.2 Educational and Informational Purpose

Hey Compono provides general insights and self-reflection tools for educational and informational purposes only. The Service is designed to support self-understanding, personal growth, and workplace effectiveness.

1.3 NOT Professional Advice

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT HEY COMPONO:

(a) Does not provide psychological counselling, therapy, medical advice, legal advice, financial advice, or any other form of professional advice;

(b) Is not a substitute for professional mental health services, medical treatment, or clinical diagnosis;

(d) Should not be relied upon for employment decisions, mental health decisions, medical decisions, or any other significant life decisions without consulting appropriate qualified professionals;

(e) Is not intended to diagnose, treat, cure, or prevent any medical or psychological condition.

1.4 Personality Assessment

The personality assessment provided through Hey Compono is based on the Compono Work Personality framework and is designed for workplace and professional development contexts. It is not a clinical assessment tool and should not be used as such. The personality assessment may not be accurate and we take no responsibility for any errors or inaccuracies.

1.5 Independent Judgment Required

You acknowledge that you are responsible for exercising your own independent judgment when interpreting or acting upon any information, insights, or guidance provided by Hey Compono. You should not make any significant decisions based solely on information provided by Hey Compono without seeking appropriate professional advice.

AI-GENERATED CONTENT AND LIMITATIONS

2.1 AI Technology Disclosure

YOU ACKNOWLEDGE AND UNDERSTAND THAT:

(a) Hey Compono is an AI-powered conversational system powered by LLMs;

(b) You are interacting with an artificial intelligence system, not a human coach, therapist, or counsellor;

(d) The AI processes your inputs and generates outputs based on patterns in training data and your personality profile.

2.2 No Guarantee of Accuracy

(a) AI-generated responses may not always be accurate, appropriate, complete, or suitable for your specific circumstances;

(b) The Service uses probabilistic methods and may produce errors, inconsistencies, or unsuitable responses;

(d) We do not warrant that insights, suggestions, or information provided will be error-free or applicable to your specific situation;

(e) The Service may occasionally produce responses that are factually incorrect, biased, or contextually inappropriate.

2.3 User Responsibility

You agree that:

(a) You will exercise critical judgment when reviewing AI-generated content;

(b) You will not rely solely on Hey Compono for important decisions affecting your career, relationships, health, or wellbeing;

(d) You will seek professional advice when appropriate for your circumstances.

2.4 Reporting Issues

If you encounter content that seems inappropriate, biased, harmful, or inaccurate, please report it immediately to support@heycompono.com. We are committed to continuously improving the Service and addressing problematic outputs.

ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement

You must be at least 18 years of age to use Hey Compono. By using the Service, you represent and warrant that you are 18 years or older. We do not knowingly collect information from or direct any of our Services to persons under 18 years of age.

3.2 Capacity to Consent

You represent and warrant that you have the legal capacity to enter into these Terms and to consent to the collection and processing of your personality assessment data and conversational content.

3.3 Account Creation

(a) To access certain features of Hey Compono, you must create an account by providing accurate and complete information as prompted during registration;

(b) You warrant that all information provided during registration and throughout your use of the Service is true, accurate, current, and complete;

(d) You are responsible for maintaining the confidentiality of your account credentials, including your password;

(e) You are responsible for all activities that occur under your account;

(f) You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

3.4 Prohibited Use

You must not use Hey Compono and must not accept these Terms if:

(a) You are under the age of 18;

(b) You are prohibited from accessing the Service under the laws of Australia or any other applicable jurisdiction;

(d) You are a competitor of Compono seeking to access the Service for competitive intelligence purposes.

SUBSCRIPTION AND PAYMENT TERMS

4.1 Service Tiers

Hey Compono is offered in multiple tiers:

(a) Free Tier: Limited access to basic features and functionality;

(b) Plus Tier: Full access to all features, functionality, and capabilities through a paid subscription.

4.2 Subscription Fees

(a) If you subscribe to Hey Compono Plus, you agree to pay the applicable subscription fees and any applicable taxes;

(b) Subscription fees are billed on a recurring basis (monthly or annually, as selected by you) in advance;

(d) Fees are non-refundable except as expressly provided in these Terms or as required by law.

4.3 Payment Processing

(a) Payment processing is handled by our third-party payment processor (Stripe);

(b) You authorise us to charge your nominated payment method for all fees incurred;

(d) If a payment fails, we may suspend or downgrade your access to paid features until payment is received.

4.4 Subscription Renewal and Cancellation

(a) Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date;

(b) You will be charged for the full subscription period even if you cancel before the renewal date;

(d) You can cancel your subscription at any time through your account settings or by contacting support@heycompono.com;

(e) If you cancel your subscription, you will retain access to paid features until the end of your current billing period;

(f) No refunds will be provided for partial billing periods or unused subscription time except as required by Australian Consumer Law or as otherwise required by law.

4.5 Fee Changes

(a) We reserve the right to change subscription fees at any time;

(b) Fee changes will not affect your current subscription period;

(d) Your continued use of the Service after a fee change constitutes acceptance of the new fees;

(e) If you do not agree to a fee increase, you may cancel your subscription before it renews at the new rate.

4.6 Free Trial

(a) We may offer a free trial period for new subscribers;

(b) At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends;

(d) You consent to us contacting you to request feedback

(e) We reserve the right to limit free trial eligibility and to modify or discontinue free trial offers at any time.

PROHIBITED USES AND USER CONDUCT

5.1 Acceptable Use

You agree to use Hey Compono only for lawful purposes and in accordance with these Terms. You agree not to:

(a) Use the Service in any way that violates any applicable local, state, national, or international law or regulation;

(b) Use the Service for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way;

(c) Transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation;

(d) Impersonate or attempt to impersonate Compono, a Compono employee, another user, or any other person or entity;

(e) Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service;

(f) Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service;

(g) Use any manual process to monitor or copy any of the material on the Service or for any other unauthorised purpose;

(h) Use any device, software, or routine that interferes with the proper working of the Service;

(i) Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;

(j) Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service;

(k) Attack the Service via a denial-of-service attack or a distributed denial-of-service attack;

(l) Otherwise attempt to interfere with the proper working of the Service.

5.2 Prohibited Employment and HR Uses

YOU EXPRESSLY AGREE NOT TO USE HEY COMPONO FOR:

(a) Making employment decisions, including hiring, promotion, termination, or role assignment decisions;

(b) Conducting employment screening or candidate assessment without explicit written consent;

(d) Any form of employment-related decision-making without obtaining appropriate professional HR and legal advice;

(e) Sharing or requiring others to share their Hey Compono assessment results as a condition of employment or consideration.

5.3 Mental Health and Crisis Situations

(a) Hey Compono is not designed to detect, treat, or respond to mental health crises;

(b) If you are experiencing a mental health crisis, suicidal thoughts, thoughts of harming yourself or others, or any other emergency, you must immediately contact emergency services, a mental health crisis line, or a qualified mental health professional;

(d) Hey Compono is not a substitute for professional mental health support and should not be used in crisis situations.

5.4 Sensitive Topics

While Hey Compono may discuss workplace challenges, professional development, and personality-related topics, the Service is not equipped to provide support for:

(a) Mental health conditions or psychological disorders;

(b) Medical conditions or symptoms;

(d) Substance abuse or addiction;

(e) Trauma or abuse;

(f) Legal matters or disputes.

If conversations touch on these topics, we strongly encourage you to seek appropriate professional support.

INTELLECTUAL PROPERTY RIGHTS

6.1 Compono's Intellectual Property

You acknowledge and agree that:

(a) Compono is the sole owner of all intellectual property rights in Hey Compono, including but not limited to:

(i) The Hey Compono application, website, and platform;

(ii) The underlying software, code, algorithms, and architecture;

(iii) The personality assessment framework and methodology;

(iv) The AI models, training data, and response generation systems;

(v) All trademarks, service marks, trade names, logos, and branding;

(vi) All content, text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code, and documentation.

(b) Nothing in these Terms transfers any intellectual property rights to you;

6.2 Licence to Use

Subject to your compliance with these Terms, Compono grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

(a) Access and use Hey Compono for your personal, non-commercial use;

(b) Download and use the mobile application on devices you own or control;

6.3 Restrictions on Use

You must not, and will not authorise or permit any other person to:

(a) Sell, resell, rent, lease, loan, or distribute access to Hey Compono;

(b) Create derivative works based on Hey Compono or copy its features, functions, or user interface;

(c) Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of Hey Compono;

(d) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices;

(e) Use Hey Compono to develop, train, or improve a competing product or service;

(f) Extract data from Hey Compono through automated means such as bots or scrapers;

(g) Frame or mirror any part of Hey Compono without our express written permission;

(h) Use Hey Compono in any way that could damage, disable, overburden, or impair the Service.

6.4 User Content Licence

(a) "User Content" means any content, data, information, or materials you submit to or through Hey Compono, including:

(i) Text messages and voice inputs in conversations with the AI;

(ii) Personality assessment responses;

(iii) Profile information and preferences;

(iv) Any other data or content you provide.

(b) You retain all ownership rights in your User Content;

(c) By submitting User Content to Hey Compono, you grant Compono a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to:

(i) Store, process, and use your User Content to provide the Service;

(ii) Analyse your User Content to improve the Service, including training and improving our AI models;

(iii) Create aggregated, anonymised data from User Content for research, analytics, and service improvement purposes;

(iv) Use anonymised, de-identified User Content for product development, marketing, and promotional purposes.

(d) The licence granted in clause 6.4(c) survives termination of these Terms to the extent necessary for Compono to comply with legal obligations and maintain anonymised aggregated data.

6.5 User Content Representations

You represent and warrant that:

(a) You own or have the necessary rights to submit all User Content;

(b) Your User Content does not infringe any intellectual property rights, privacy rights, or other rights of any third party;

(d) You will indemnify Compono for any breach of these representations and warranties.

6.6 Feedback

If you provide suggestions, ideas, feedback, or recommendations about Hey Compono ("Feedback"), you grant Compono an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free licence to use, reproduce, distribute, create derivative works from, and otherwise exploit the Feedback for any purpose without compensation or attribution to you.

DATA PRIVACY AND SECURITY

Refer to the Privacy Policy for details on data privacy and security.

AI-SPECIFIC TERMS AND DISCLOSURES

8.1 AI Infrastructure and Processing

(a) Hey Compono uses generative AI powered by Large Language Models (LLMs) hosted on secure cloud infrastructure;

(b) AI processing is conducted using modern cloud technologies designed for scalability, security, and high availability;

(d) Our AI infrastructure ensures that:

(i) Data is encrypted in transit and at rest;

(ii) Data is not shared with unauthorised parties;

(iii) Data is not retained beyond processing needs where technically feasible;

(iv) User data is not used to train publicly available AI models operated by third parties;

(v) Access controls ensure your data remains private and secure.

8.2 AI Model Training and Improvement

(a) We may use anonymised, aggregated data derived from User Content to train, test, and improve our AI models;

(b) We implement data minimisation and privacy-preserving techniques when using data for model improvement;

(d) We continuously work to improve the accuracy, relevance, and safety of AI-generated responses.

8.3 Personalisation and Adaptation

(a) Hey Compono adapts its communication style and content based on your personality profile;

(b) The AI uses your conversation history and optional profile data to provide contextual and personalised guidance;

(d) Personalisation is designed to improve your experience but may not always be accurate or appropriate.

8.4 Voice Features

(a) When using voice features, your voice input is processed in real-time and converted to text;

(b) Voice conversations may be recorded and transcribed for quality improvement and record-keeping purposes;

(d) You can review, download, or delete voice conversation transcripts through your account settings.

8.5 Bias and Fairness

(a) We are committed to responsible AI practices, including bias mitigation, transparency, and fairness;

(b) Despite our efforts, AI systems may exhibit biases present in training data or which may emerge from complex model behaviours;

(d) We continuously monitor and improve our AI systems to reduce bias and ensure fair treatment.

8.6 AI Limitations and Risks

You acknowledge and accept that:

(a) AI systems can produce incorrect, incomplete, misleading, or nonsensical responses;

(b) AI-generated content should not be taken as factually accurate without independent verification;

(d) AI responses may be inappropriate for your specific circumstances;

(e) The AI cannot provide professional advice (psychological, medical, legal, financial, etc.);

(f) The AI is not sentient, conscious, or capable of genuine understanding or empathy;

(g) You use AI-generated content entirely at your own risk.

SERVICE AVAILABILITY AND MODIFICATIONS

9.1 Software-as-a-Service Model

(a) Hey Compono is a hosted, cloud-based service accessed via the internet;

(b) The Service is managed and maintained exclusively by Compono from our servers;

(d) You access the Service through web browsers, mobile applications, or voice interfaces as we make available from time to time.

9.2 Service Availability

(a) We strive to provide high availability and reliability for Hey Compono;

(b) We do not guarantee that the Service will be available 100% of the time or that it will be uninterrupted, timely, secure, or error-free;

(i) Scheduled maintenance (we will provide notice when reasonably practicable);

(ii) Emergency maintenance;

(iii) Technical failures or issues beyond our control;

(iv) Third-party service disruptions;

(v) Force majeure events;

(d) We are not responsible for any loss, damage, or inconvenience caused by service unavailability.

9.3 Service Modifications

(a) We reserve the right to modify, update, enhance, or discontinue any aspect of Hey Compono at any time;

(b) Modifications may include:

(i) Adding or removing features;

(ii) Changing user interfaces or designs;

(iii) Updating AI models or response generation systems;

(iv) Adjusting service tiers or access levels;

(v) Implementing new security measures;

(c) We will provide notice of material changes that adversely affect your use of the Service where reasonably practicable;

(d) Your continued use of the Service after modifications constitutes acceptance of those changes.

9.4 Service Discontinuation

(a) We may discontinue Hey Compono or any part of it at any time;

(b) If we discontinue the Service, we will provide at least 30 days' notice where reasonably practicable;

(c) Upon discontinuation, you will be entitled to a pro-rata refund of any prepaid subscription fees for the unused portion of your subscription period.

THIRD-PARTY SERVICES AND INTEGRATIONS

10.1 Reliance on Third Parties

You acknowledge that Hey Compono relies on third-party services for certain functionality, including but not limited to:

(a) AI and machine learning infrastructure;

(b) Voice processing and telephony;

(d) Email delivery;

(e) Cloud hosting and storage;

(f) Content delivery networks;

(g) Analytics and monitoring;

(h) Customer support systems.

10.2 Third-Party Service Interruptions

(a) We are not responsible for interruptions, errors, or failures caused by third-party services;

(b) We will use reasonable efforts to work with third-party providers to resolve issues;

10.3 Third-Party Links

(a) Hey Compono may contain links to third-party websites or services;

(b) We do not endorse, control, or assume responsibility for third-party content, services, or privacy practices;

(d) We encourage you to review the terms and privacy policies of any third-party services you access.

10.4 No Warranty for Third-Party Services

We make no representations or warranties regarding:

(a) The reliability, accuracy, or availability of third-party services;

(b) The security or privacy practices of third-party providers;

TERM AND TERMINATION

11.1 Term

These Terms commence when you first access or use Hey Compono and continue until terminated in accordance with this Clause 11.

11.2 Termination by User

(a) You may terminate these Terms at any time by:

(i) Cancelling your subscription (if applicable) through your account settings or by contacting support@heycompono.com;

(ii) Closing your account through account settings or by contacting support@heycompono.com;

(iii) Ceasing to use Hey Compono;

(b) If you cancel a paid subscription, you will retain access until the end of your current billing period, but no refund will be provided for the unused portion except as required by law;

(c) Upon account closure, we will delete or anonymise your personal data in accordance with our data retention policies and legal obligations.

11.3 Termination by Compono

We may suspend or terminate your access to Hey Compono immediately and without notice if:

(a) You breach any provision of these Terms;

(b) Your use of the Service violates applicable law;

(d) Your use of the Service damages our reputation or business interests;

(e) You fail to pay applicable fees when due;

(f) We are required to terminate access by law or court order;

(g) We discontinue the Service in accordance with Clause 9.4.

11.4 Effect of Termination

Upon termination:

(a) Your licence to use Hey Compono immediately terminates;

(b) You must cease all use of the Service;

(d) We will delete or anonymise your personal data in accordance with our Privacy Policy and legal obligations;

(e) You remain liable for any fees incurred prior to termination;

(f) Clauses that by their nature should survive termination will continue to apply, including but not limited to provisions related to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

11.5 Data Export Before Termination

We strongly encourage you to export any data you wish to retain before terminating your account. Once your account is deleted, we may not be able to recover your data.

DISCLAIMER OF WARRANTIES

12.1 "As is" and "As Available" Basis

To the maximum extent permitted by law, Hey Compono is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

12.2 Disclaimer of All Warranties

To the maximum extent permitted by law, compono disclaims all warranties, express, implied, statutory, or otherwise, including but not limited to:

(a) Warranties of merchantability, fitness for a particular purpose, title, and non-infringement;

(b) Warranties that the Service will be uninterrupted, secure, error-free, or free from viruses or harmful components;

(c) Warranties regarding the accuracy, reliability, completeness, or timeliness of content, information, or recommendations provided through the Service;

(d) Warranties regarding the effectiveness of personality assessments, AI-generated insights, or any guidance provided;

(e) Warranties that the Service will meet your requirements or expectations;

(f) Warranties regarding the results or outcomes you may achieve using the Service.

12.3 No Professional Advice Warranty

(a) We do not warrant that Hey Compono provides professional advice of any kind;

(b) We do not warrant that AI-generated content is suitable for any particular purpose, including professional development, workplace decisions, or personal growth;

12.4 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, warranties, or rights you may have under the Competition and Consumer Act 2010 (Cth) or similar legislation that cannot be lawfully excluded.

To the extent permitted by law and subject to the Australian Consumer Law:

(a) Our liability for breach of any consumer guarantee that cannot be excluded is limited, at our option, to:

(i) The supply of the services again; or

(ii) The payment of the cost of having the services supplied again.

(b) We exclude all other conditions, warranties, and guarantees that may be implied by law.

LIMITATION OF LIABILITY

13.1 Exclusion of Certain Damages

To the maximum extent permitted by law, in no event shall compono, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for:

(a) Any indirect, incidental, special, consequential, punitive, or exemplary damages;

(b) Loss of profits, revenue, business, data, or business opportunities;

(d) Loss or corruption of data or content;

(e) Business interruption or work stoppage;

(f) Cost of substitute services or products;

(g) Personal injury, emotional distress, or psychological harm;

(h) Any damages arising from reliance on content, recommendations, or guidance provided by Hey Compono;

(i) Any damages resulting from unauthorised access to or use of your account or data;

(j) Any damages caused by errors, omissions, interruptions, defects, or delays in the Service;

whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Compono has been advised of the possibility of such damages.

13.2 Cap on Liability

To the maximum extent permitted by law, compono's total aggregate liability to you for all claims arising out of or related to these terms or your use of Hey Compono shall not exceed the greater of:

(a) The total amount you paid to Compono for Hey Compono in the six (6) months immediately preceding the event giving rise to liability; or

(b) AUD $100.

13.3 User Liability Cap

To the maximum extent permitted by law, your total aggregate liability to compono for all claims arising out of or related to these terms or your use of Hey Compono shall not exceed the greater of:

(a) The total amount you paid to Compono for Hey Compono in the six (6) months immediately preceding the event giving rise to liability; or

(b) AUD $100.

13.4 Basis of the Bargain

You acknowledge and agree that the disclaimers and limitations of liability set forth in these Terms reflect a reasonable allocation of risk and that Compono would not provide Hey Compono without these limitations.

13.5 Applicable Law

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the exclusions and limitations in these Terms apply only to the extent permitted by applicable law, including the Australian Consumer Law.

INDEMNIFICATION

14.1 User Indemnification

You agree to indemnify, defend, and hold harmless Compono, its affiliates, and their respective directors, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees and expenses) arising from or related to:

(a) Your use or misuse of Hey Compono;

(b) Your breach of these Terms;

(d) Your User Content, including any infringement of intellectual property rights or privacy rights;

(e) Any claim that your User Content caused harm to a third party;

(f) Your negligence, wilful misconduct, or fraudulent acts;

(g) Any claim arising from your reliance on AI-generated content or recommendations;

(h) Any claim arising from your use of Hey Compono for employment decisions or other prohibited purposes.

14.2 Compono Indemnification

Subject to Clause 13, Compono agrees to indemnify, defend, and hold you harmless from and against any third-party claims arising from:

(a) Infringement of intellectual property rights by Hey Compono, provided such infringement was not caused by your unauthorised modification or misuse of the Service;

(b) Compono's gross negligence or wilful misconduct.

14.3 Indemnification Procedure

(a) The indemnified party must promptly notify the indemnifying party of any claim;

(b) The indemnifying party will have sole control over the defence and settlement of the claim, provided the settlement does not impose obligations on the indemnified party without their consent;

DISPUTE RESOLUTION AND GOVERNING LAW

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws in force in Queensland, Australia, without regard to its conflict of law provisions.

15.2 Jurisdiction

The parties submit to the non-exclusive jurisdiction of the courts of Queensland, Australia for any proceedings arising out of or related to these Terms.

15.3 Pre-Litigation Dispute Resolution

Before commencing any court or tribunal proceedings, the parties agree to attempt to resolve any dispute arising out of or related to these Terms through good faith negotiations:

(a) The party claiming a dispute must provide written notice to the other party outlining:

(i) The nature of the dispute;

(ii) The desired outcome;

(iii) Proposed steps to reach settlement;

(b) Upon receipt of the dispute notice, the parties must:

(i) Use best endeavours to resolve the dispute within fourteen (14) days;

(ii) If no resolution is reached, agree to participate in mediation;

(i) The mediator must be mutually agreed upon;

(ii) If no agreement can be reached on a mediator, the mediator will be appointed by the President of The Queensland Law Society;

(iii) The direct costs of mediation will be shared equally unless the mediator determines a different apportionment is equitable;

(iv) The rules of the mediation will be as determined by the mediator;

(v) Mediation will be held in Brisbane, Queensland, Australia and will be conducted in English;

(d) All communications during the dispute resolution process are confidential and conducted on a "without prejudice" basis;

(e) If the dispute is not resolved within thirty (30) days of the initial dispute notice, either party may commence court or tribunal proceedings;

(f) Nothing in this clause prevents a party from seeking urgent interlocutory or injunctive relief.

15.4 Individual Disputes Only

You agree that any dispute arising out of or related to these Terms or Hey Compono will be resolved on an individual basis and not as part of a class action, collective action, or representative proceeding.

GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Compono regarding Hey Compono and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

16.2 Amendments

(a) We may amend these Terms at any time by posting the amended Terms on our website or in the Service;

(b) Material changes will be notified to you via email or in-app notification;

(d) If you do not agree to the amended Terms, you must cease using Hey Compono and may terminate your account.

16.3 Waiver

(a) No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision;

(b) No waiver shall constitute a continuing waiver unless otherwise expressly provided;

(c) A party's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

(a) That provision shall be deemed severed from these Terms;

(b) The remaining provisions shall remain in full force and effect;

16.5 Assignment

(a) You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent;

(b) We may assign, transfer, or delegate these Terms and our rights and obligations hereunder without your consent;

(d) These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

16.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Compono. You and Compono are independent contractors, and neither party has authority to bind the other.

16.7 Force Majeure

Compono shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to:

(a) Acts of God, natural disasters, or severe weather;

(b) War, terrorism, riots, or civil unrest;

(d) Strikes, labour disputes, or shortages;

(e) Internet or telecommunications failures;

(f) Pandemics or public health emergencies;

(g) Failures of third-party service providers.

16.8 Notices

(a) Notices to you may be provided via email to the address associated with your account, through in-app notifications, or by posting on our website;

(b) Notices to us must be sent to:

Each party acknowledges that:

(a) The provisions of these Terms are fair and reasonable;

(b) Each party has had the opportunity to obtain independent legal advice;

16.10 Survival

The following provisions survive termination of these Terms:

(a) Intellectual Property Rights (Clause 6);

(b) Data Privacy (Clause 7);

(d) Disclaimer of Warranties (Clause 12);

(e) Limitation of Liability (Clause 13);

(f) Indemnification (Clause 14);

(g) Dispute Resolution and Governing Law (Clause 15);

(h) General Provisions (Clause 16);

(i) Any other clauses that by their nature should survive termination.

16.11 Headings

Section and clause headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

16.12 Language

These Terms are drafted in English. If these Terms are translated into another language, the English version shall prevail to the extent of any inconsistency.
